1. Acceptance of Terms

By using our website, patient portal, booking flow or services, you agree to these Terms & Conditions, our Privacy Policy and our Notice of Privacy Practices. If you do not agree, do not use our services.

2. About u-wellness

u-wellness ("u-wellness", "we", "us") offers mobile health and wellness care in California: IV therapy, vitamin injections, medical weight loss, lab testing, the Optimize program and supplements. We do not operate a clinic. Our nurses come to you, at your home, workplace or hotel, or see you at a u-wellness event. Our clinical services are available only to patients located in California (see Section 8).

We use software, including artificial intelligence, to help with health intake, to draft care plans and protocols for physician review, to schedule appointments and to send check-ins (see Section 6).

3. Medical Services and Limits

What our clinicians do. Our care is provided by licensed clinicians. Our California-licensed physician reviews your intake answers, health history, medications, allergies and lab results, writes a personalized care plan for you, and may prescribe medication when it is clinically appropriate. Our licensed nurses administer IV and injection (IM) therapy in person. IV and injection protocols are reviewed and approved by our physician before a nurse administers them. Our physician uses independent professional judgment and may modify, decline or stop any service at any time. If you buy supplements to take home and decline the optional physician review offered with that order, we may fulfill the order without a physician review.

What we are not. We are not your primary care provider and do not replace one; with your permission, we can share your results and care plan with your own doctor. Our physician may refer you to another provider, such as your primary care physician or a specialist, when your needs are outside what we offer. We do not provide emergency or urgent care (see Section 4).

Prescriptions are never guaranteed. Whether to prescribe, and what to prescribe, is our physician's decision based on your health information. Paying for a program, membership or consultation does not guarantee that you will receive a prescription.

IV and injection therapy limits. IV and injection therapy is given only under a physician-approved protocol for you, and only by a licensed nurse. The nurse may decline to start, or may stop, an infusion or injection if it does not appear safe for you at the time of the visit, for example because of your vital signs, symptoms or difficulty placing an IV.

No guaranteed results. Some services, such as IV nutrient therapy, vitamin injections and supplements, are offered to support general wellness, and some of those uses may be outside the uses the FDA has approved. Educational content on our website and in the app, including content written with AI assistance, is general information, not medical advice for you, until our clinicians review your information. Individual results vary, and we do not guarantee any particular outcome, including any amount of weight loss.

4. Emergencies

u-wellness does not provide emergency or urgent care, and messages, texts and account notes are not monitored around the clock. If you think you have a medical emergency, call 911 or go to the nearest emergency room.

5. Telehealth: Asynchronous Physician Review and Secure Messaging

Much of your care with u-wellness is delivered through asynchronous physician review and secure messaging, which is telehealth under California law. Our California-licensed physician reviews your intake answers, health history, medications, allergies and lab results without a live visit, and our care team follows up with you through your u-wellness account, text messages and email. u-wellness does not offer live video or phone visits with the physician; all physician care is asynchronous. If our physician decides asynchronous care is not appropriate for you, we will refer you to your own doctor or another provider. You must be physically located in California at the time of each telehealth service. The same privacy protections apply to telehealth as to in-person care (see our Notice of Privacy Practices). Telehealth has limits, including that our physician cannot examine you in person and that technology can fail.

Consent to telehealth. By using our services, you consent to receive health care from u-wellness through telehealth, including asynchronous physician review and secure messaging, as described in this section. You may withdraw this consent at any time by emailing hello@u-wellness.ai; withdrawing it does not affect in-person services we offer in your area.

6. AI Assistance and the AI Companion

u-wellness uses AI tools to help with intake, to draft care plans and protocols for physician review, and to power our AI companion. The AI companion is software, not a human and not a clinician. It can check in with you and answer your messages and texts, and it can make mistakes. It does not make clinical decisions; our clinicians make those. To reach a person on your care team, email hello@u-wellness.ai or call the phone number in Section 19.

7. Text Messages (SMS)

By providing your phone number through our website, patient portal or booking flow, you expressly consent to receive automated and non-automated text messages from u-wellness about your u-wellness care, including IV therapy, injections, weight loss, Optimize and lab services. These include:

  • Appointment confirmations and reminders

  • Protocol approval notifications

  • Lab order and lab result updates, care plan notices and prescription notices

  • Payment links, payment confirmations and membership billing notices

  • Post-treatment follow-up check-ins

  • Program check-ins, including messages from our AI companion (see Section 6)

  • Account setup and operational alerts

Clinical intake is not collected by text message. If you reply to our texts, we keep your reply in your record, and it may be answered by our AI companion or by our staff. Message frequency varies based on your care. Message and data rates may apply. Consent is not a condition of purchase. You may opt out at any time by replying STOP. Reply HELP for help.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

8. Eligibility

Our clinical services (physician review, telehealth, lab testing, prescriptions, and IV and injection visits) are available only to patients located in California. You must be physically located in California at the time of each consultation and visit. A take-home supplement order that does not include a physician review is not a clinical service, and this California requirement does not apply to it. You must be at least 18 years old to use our services. By using our services, you represent that you are at least 18 years of age. Individuals under 18 require a parent or legal guardian to interact on their behalf.

9. Your Health Information

You agree to provide accurate and complete health information, including medications, allergies, medical conditions and anything else we ask. Our clinicians rely on what you tell us. Inaccurate or incomplete information may lead to an inappropriate recommendation and could put your health at risk. Tell us promptly if your health, medications or contact details change.

10. Payment & Pricing

Prices are presented before you pay and may vary based on your personalized protocol. The price shown at checkout is the price you pay. Payment is processed securely through Stripe. Physician review occurs after payment.

Refunds. Refunds are available if: (a) your protocol is not approved by the reviewing physician, (b) you cancel before physician review has begun, (c) treatment cannot be scheduled within 30 days of payment, or (d) you cancel or reschedule more than 12 hours before a scheduled visit. Refund requests should be directed to hello@u-wellness.ai.

11. Memberships and Automatic Renewal

Weight Loss, Optimize and IV Membership are memberships. Each membership renews automatically and charges the card on file until you cancel. Weight Loss and Optimize renew every 30 days. IV Membership renews every 30 days unless our team moves your billing to match your visit schedule, which can make renewals come sooner (between 7 and 30 days apart). The app shows your next charge date and how often you are billed. The price, what is included and any minimum term are shown on the checkout page before you pay.

  • Weight Loss: the membership price shown at checkout, every 30 days, starting with your first payment. Prescription medication is not included; the pharmacy bills it separately. There is no minimum term.

  • Optimize: the membership price shown at checkout, every 30 days. We encourage you to stay at least 5 months to see results, but there is no minimum term. Prescription medication is billed separately.

  • IV Membership: the membership price shown at checkout, on the schedule described above, with a 3-month minimum that starts on the date of your first IV visit, not your first payment. You can cancel once 90 days have passed since that visit.

How to cancel online. In the app, open Your care (the link in our texts), then Account & receipts, then Membership, and tap Cancel subscription. You can also email hello@u-wellness.ai. When you cancel Weight Loss or Optimize, future renewals stop and you are not charged again. Automated check-ins and AI companion messages stop when you cancel; if you want care for the rest of a 30-day period you already paid for, email hello@u-wellness.ai. When you cancel IV Membership (after the minimum term), further charges stop right away, and any session you already paid for stays booked. Cancelling stops future renewals; refunds of payments already made follow Section 10.

Changes to your membership. We will tell you before any change to a membership's price or terms takes effect. A change never applies to a period you have already paid for; it applies from your next renewal, and you can cancel before then.

12. Appointments & Cancellations

Appointments are scheduled through our online booking system based on nurse availability. Cancellations or reschedules made more than 12 hours before a visit receive a full refund. Cancellations with less than 12 hours' notice, or no-shows, may be subject to a preparation deposit or rebooking fee.

13. Lab Testing and Results

When you order lab testing, our team places your order with Quest Diagnostics, an independent CLIA-certified laboratory. Tests are performed by Quest, not by u-wellness. Blood draws can cause bruising, lightheadedness, fainting or, rarely, infection; tell the phlebotomist if you have had problems with blood draws before. Results may occasionally be incomplete or need repeating.

Our physician reviews the results of tests we order and sends you a written care plan. If you get a result directly from the laboratory that worries you before you hear from us, or you feel unwell, contact your own doctor, or call 911 in an emergency. Lab results can include unexpected or upsetting findings.

Uploading results from other labs is voluntary. Results you upload yourself are not automatically reviewed by a clinician, unless your program uses the uploaded report as your starting labs (for example, a weight-loss baseline report, which goes to our physician for review). Our physician may consider other uploads when reviewing your care; to have our physician review a specific result, email hello@u-wellness.ai. By uploading, you consent to our AI tools and clinical team using your results to personalize your care. You may request deletion of uploaded files at any time, subject to medical-record retention rules.

14. Prescriptions and Pharmacy

If our physician prescribes a medication, the prescription is sent electronically to a licensed pharmacy, which dispenses it and bills you for it separately from your u-wellness membership. For medical weight loss we prescribe FDA-approved medication and do not use compounded GLP-1 medications. Dispensed medications cannot be returned to or refunded by u-wellness.

15. Limitation of Liability

To the maximum extent permitted by law, u-wellness is not liable for any indirect, incidental, special, consequential or punitive damages arising from your use of our website or app, including delays caused by technology failures. This limitation does not apply to claims arising from negligence or willful misconduct, and nothing in these Terms limits any right you have under California law regarding the medical care you receive.

16. Indemnification

You agree to indemnify and hold harmless u-wellness and its officers, employees and agents from claims, damages or expenses arising from your misuse of our website or app or your intentional breach of these Terms.

17. Governing Law

These Terms are governed by the laws of the State of California. Any disputes will be resolved in the courts of Fresno County, California.

18. Changes to These Terms

We may update these Terms from time to time and will post the updated Terms on this page with a new "Last updated" date. We will notify you of material changes by posting them on this page or through another appropriate notice. Continued use of our services after changes take effect means you accept the updated Terms. A change never applies to a membership period you have already paid for (see Section 11).
